Terms of Membership & Platform Use

1. Introduction

Bike Shed Moto Club exists to bring together people from different backgrounds, riding styles, and perspectives through a shared passion for motorcycles and motorcycle culture.

These Terms of Membership & Platform Use (the “Terms”) govern participation in Bike Shed Moto Club and the use of the services, content, features, events, community spaces, websites, mobile applications, and related offerings made available by Bike Shed Motorcycle Company Limited (“Bike Shed,” “we,” “us,” or “our”).

By creating an Account, purchasing a Membership, accessing the Platform, participating in community activities, or otherwise using any Bike Shed Moto Club Services, you agree to be bound by these Terms.

These Terms apply to all Members of Bike Shed Moto Club worldwide.

2. Supporting Policies

These Terms incorporate and are supplemented by the following policies, each of which forms part of the agreement between you and Bike Shed:

  1. Privacy Policy;
  2. Community Guidelines;
  3. Ride & Event Participation Policy;
  4. Marketplace & Classifieds Terms; and
  5. Membership Benefits & Subscription Terms.

Together, these documents form the Bike Shed Moto Club Legal Framework.

In the event of a conflict between these Terms and a supporting policy, these Terms shall prevail unless expressly stated otherwise.

If you do not agree to these Terms and the supporting policies, you must not create an Account, purchase a Membership, access the Platform, or use the Services.

3. Definitions

For purposes of these Terms:

“Account” means the registered account used to access Bike Shed Moto Club Services.

“Bike Shed” means Bike Shed Motorcycle Company Limited, a company registered in England and Wales with its registered address at 384 Old Street, London EC1V 9LT, United Kingdom.

“Community Spaces” means any digital or physical space made available by Bike Shed or through the Platform, including forums, Groups, messaging features, comments, discussions, rides, events, meetups, and other Member interactions.

“Event” means any gathering, activity, meeting, experience, meetup, ride, social occasion, workshop, content activation, or other occasion promoted, organized, listed, created, discussed, or attended through the Platform.

“Group” means any interest-based, location-based, motorcycle-based, brand-based, riding-style-based, or other Member community within the Platform.

“Marketplace” means any classifieds, commerce, buy/sell, auction, listing, or transaction-related functionality accessible through or linked from the Platform.

“Member” means any individual who creates an Account, purchases a Membership, accesses the Platform, participates in Bike Shed Moto Club activities, or otherwise uses the Services.

“Member Content” means any text, photographs, videos, audio recordings, comments, messages, ride listings, event listings, marketplace listings, profile information, reviews, usernames, images, documents, links, or other materials submitted, uploaded, posted, transmitted, or shared by a Member through the Platform.

“Membership” means a paid, complimentary, promotional, gifted, trial, or otherwise authorized subscription, account, or access arrangement granting access to Bike Shed Moto Club Services, benefits, content, community features, and experiences.

“Platform” means the Bike Shed Moto Club mobile application, websites, digital services, technology systems, community tools, and related services operated by Bike Shed.

“Ride” means any motorcycle ride, route, journey, tour, meetup, excursion, riding activity, or riding-related gathering created, promoted, discussed, organized, discovered, or attended through the Platform.

“Services” means all services, content, features, functionality, events, experiences, Membership benefits, Community Spaces, Marketplace access, communications, and offerings provided by or through Bike Shed Moto Club.

“Terms” means these Terms of Membership & Platform Use together with all incorporated policies.

4. Eligibility & Membership

4.1 Minimum Age

You must be at least sixteen (16) years of age to create an Account, purchase a Membership, access the Platform, or use the Services.

By using the Platform, you represent and warrant that you meet this requirement.

If we discover that an individual under the age of sixteen (16) has created an Account or accessed the Platform, we reserve the right to suspend or terminate that Account without notice.

4.2 Authority to Enter Into This Agreement

By creating an Account, purchasing a Membership, or using the Services, you represent and warrant that:

  1. You have the legal capacity to enter into a binding agreement;
  2. The information you provide is accurate, current, and complete;
  3. You will keep your Account information accurate and up to date;
  4. Your use of the Platform complies with applicable laws, regulations, and these Terms; and
  5. You are not prohibited from using the Services under applicable law.

4.3 Membership Eligibility

Bike Shed reserves the right to refuse, suspend, restrict, or terminate Memberships at its discretion where necessary to protect the Platform, the community, Members, staff, partners, physical locations, events, or the Bike Shed brand.

Membership is a privilege, not a right.

Nothing in these Terms guarantees continued Membership, access to the Platform, or access to any particular benefit, feature, Event, Ride, Group, product, or service.

4.4 Geographic Availability

Bike Shed Moto Club may be available internationally. However, certain features, benefits, products, content, Events, Rides, Marketplace functions, or Services may be unavailable in certain regions.

We reserve the right to restrict access to portions of the Platform based on geographic location, legal requirements, sanctions, licensing restrictions, operational considerations, safety concerns, or other business reasons.

5. Membership Accounts

5.1 Account Registration

To access certain features of the Platform, you must create an Account.

At launch, Accounts are registered using an email address and password. Bike Shed may add, modify, or remove registration methods in the future.

You are responsible for maintaining accurate Account information at all times.

5.2 Account Security

You are solely responsible for:

  1. Maintaining the confidentiality of your Account credentials;
  2. Restricting access to your devices;
  3. All activity occurring through your Account;
  4. Promptly notifying Bike Shed of any unauthorized use or suspected security breach; and
  5. Taking reasonable steps to protect your Account from misuse.

Bike Shed is not responsible for losses arising from your failure to safeguard Account credentials.

5.3 One Account Per Member

Unless expressly authorized by Bike Shed, each Member may maintain only one Account.

We reserve the right to merge, suspend, restrict, or remove duplicate Accounts.

5.4 Account Transfers

Accounts, Memberships, usernames, badges, benefits, privileges, and access rights may not be sold, assigned, transferred, licensed, leased, shared, or otherwise conveyed to another person without prior written authorization from Bike Shed.

5.5 Account Suspension

Bike Shed may suspend or restrict access to an Account where we reasonably believe:

  1. These Terms have been violated;
  2. The Community Guidelines have been violated;
  3. Fraudulent or abusive activity has occurred;
  4. Security concerns exist;
  5. The Account poses a risk to the community, Members, staff, partners, or Platform;
  6. The Account is being used in a manner inconsistent with the spirit of Bike Shed Moto Club; or
  7. Suspension is otherwise necessary to protect Bike Shed, its Members, or its Services.

Suspension may occur with or without prior notice.

6. Membership Fees, Renewals & Refunds

6.1 Membership Fees

Membership fees are established by Bike Shed and may vary by currency, region, promotion, Membership type, or other factors.

As of the Effective Date, standard annual pricing may include:

  1. USD $120;
  2. GBP £89; and
  3. EUR €99.

Pricing may change from time to time. Current pricing will be displayed at the time of purchase.

6.2 Automatic Renewal

Unless cancelled before the renewal date, Memberships automatically renew at the then-current Membership rate.

By purchasing a Membership, you authorize Bike Shed and its payment providers to charge the applicable renewal fee using your designated payment method.

Renewal charges may occur without additional notice unless notice is required by applicable law.

6.3 Cancellation

Members may cancel automatic renewal at any time through their Account settings or other methods provided by Bike Shed.

Cancellation prevents future renewal charges but does not automatically result in a refund of amounts already paid, except as described in these Terms or required by applicable law.

6.4 Thirty-Day Refund Policy

New Membership purchases may be eligible for a full refund if requested within thirty (30) days of the original purchase date.

Refund requests submitted after the thirty-day period may be denied at Bike Shed’s discretion, except where a refund is required by applicable law.

Bike Shed reserves the right to refuse refunds where we reasonably believe the refund policy is being abused or used in bad faith.

6.5 Promotional Memberships

Bike Shed may issue complimentary, discounted, gifted, sponsored, trial, ambassador, influencer, partner, media, or promotional Memberships.

Such Memberships may be subject to additional terms and may be modified, suspended, or revoked at Bike Shed’s discretion.

6.6 Taxes & Fees

Membership fees may be subject to applicable taxes, duties, levies, exchange rate adjustments, payment processing fees, or other governmental charges.

Members are responsible for all applicable taxes associated with their Membership and use of the Platform.

6.7 Changes to Membership Pricing

Bike Shed reserves the right to modify Membership pricing, benefits, tiers, offerings, and subscription structures at any time.

Any changes will apply prospectively and will not affect amounts already paid except as required by law or expressly disclosed at the time of renewal.

7. Use of the Platform

7.1 Purpose of the Platform

The Platform is provided to support motorcycle culture, community connection, original content, Events, Rides, Groups, Marketplace access, Member interaction, and other Bike Shed Moto Club Services.

Members may use the Platform only in accordance with these Terms, the supporting policies, and applicable law.

7.2 Permitted Use

Subject to these Terms, Members may use the Platform to:

  1. Access Bike Shed Moto Club content and Membership benefits;
  2. Create and participate in Community Spaces;
  3. Post, share, and interact with Member Content;
  4. Join and participate in Groups;
  5. Create, discover, and attend Events;
  6. Create, discover, and participate in Rides;
  7. Send and receive direct and group messages;
  8. Access Marketplace or classifieds features;
  9. Receive app, email, push, and SMS communications; and
  10. Participate in other Services made available by Bike Shed.

7.3 Prohibited Use

Members must not use the Platform to:

  1. Violate any law, regulation, contractual obligation, or third-party right;
  2. Harass, threaten, abuse, intimidate, defame, or target another person;
  3. Post discriminatory, hateful, violent, sexually exploitative, or otherwise harmful content;
  4. Impersonate any person, company, brand, organization, or representative;
  5. Engage in fraud, scams, phishing, spam, or deceptive activity;
  6. Upload malicious code, viruses, spyware, malware, or other harmful technology;
  7. Scrape, harvest, mine, or collect data from the Platform without authorization;
  8. Interfere with or disrupt the Platform, Services, or related systems;
  9. Use the Platform for excessive self-promotion, unauthorized commercial activity, or unsolicited advertising;
  10. Misrepresent association with Bike Shed;
  11. Encourage unlawful, reckless, unsafe, or dangerous behavior;
  12. Organize or promote Events or Rides in a manner that violates applicable law or creates unreasonable risk;
  13. Circumvent moderation, access restrictions, security systems, or payment systems; or
  14. Act in any manner that Bike Shed determines is harmful to the community, the Platform, Members, staff, partners, or the Bike Shed brand.

7.4 Platform Availability

Bike Shed may modify, suspend, discontinue, restrict, or remove any feature, content, benefit, Group, Event, Ride, Marketplace function, or Service at any time.

We do not guarantee that the Platform will be uninterrupted, secure, error-free, or available at all times.

8. Member Content

8.1 Member Responsibility

Members are solely responsible for all Member Content they submit, upload, post, transmit, or share through the Platform.

By submitting Member Content, you represent and warrant that:

  1. You own the Member Content or have all rights necessary to submit it;
  2. The Member Content does not infringe or violate any intellectual property, privacy, publicity, contractual, or other rights of any third party;
  3. The Member Content is not unlawful, misleading, defamatory, abusive, obscene, harassing, hateful, fraudulent, or otherwise harmful;
  4. The Member Content complies with these Terms and the Community Guidelines; and
  5. You have obtained all necessary consents from individuals who appear in, are named in, or are identifiable from the Member Content.

8.2 Ownership of Member Content

Members retain ownership of their Member Content.

Nothing in these Terms transfers ownership of Member Content to Bike Shed.

8.3 License Granted to Bike Shed

By submitting, uploading, posting, transmitting, or sharing Member Content through the Platform, you grant Bike Shed Motorcycle Company Limited a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, distribute, publish, transmit, adapt, modify, edit, translate, create derivative works from, and otherwise use such Member Content in connection with:

  1. Operating and providing the Platform and Services;
  2. Displaying Member Content to other Members and the public where applicable;
  3. Promoting Bike Shed Moto Club, Bike Shed, Events, Rides, Memberships, and related services;
  4. Editorial publication, storytelling, newsletters, social media, video, photography, and content development;
  5. Marketing, advertising, public relations, and community communications;
  6. Moderation, safety, security, trust, support, and legal compliance;
  7. Analytics, research, product development, recommendation systems, search, personalization, machine-learning systems, artificial intelligence systems, and improvement of the Platform and Services; and
  8. Any other purpose reasonably related to the operation, development, improvement, or promotion of Bike Shed Moto Club and related Bike Shed services.

This license continues for as long as necessary to operate, protect, preserve, archive, promote, or improve the Platform and Services, including after deletion of your Account where Member Content has been shared, copied, cached, archived, incorporated into other materials, or relied upon for legitimate business, legal, safety, editorial, or operational purposes.

8.4 Moral Rights

To the fullest extent permitted by applicable law, you waive and agree not to assert any moral rights or similar rights in Member Content against Bike Shed or its authorized partners in connection with the uses permitted by these Terms.

Where moral rights cannot be waived, you agree not to enforce them in a manner that prevents Bike Shed from using Member Content as permitted by these Terms.

8.5 Removal of Member Content

Bike Shed may, but is not obligated to, review, edit, restrict, remove, block, archive, or refuse to display any Member Content at any time and for any reason, including where we believe the Member Content:

  1. Violates these Terms or supporting policies;
  2. May expose Bike Shed, Members, staff, or partners to risk;
  3. Is harmful, misleading, unlawful, offensive, unsafe, or disruptive;
  4. Infringes third-party rights;
  5. Undermines the experience of the community; or
  6. Is otherwise inconsistent with the values or interests of Bike Shed Moto Club.

Removal of Member Content does not limit any other rights or remedies available to Bike Shed.

9. Messaging, Groups, Events & Rides

9.1 Messaging

The Platform may allow Members to send direct messages, group messages, comments, replies, and other communications.

Members are responsible for all messages they send and receive through the Platform.

Bike Shed may access, review, preserve, disclose, restrict, or remove messages where necessary for moderation, safety, security, legal compliance, support, enforcement of these Terms, or protection of Members and the community.

Messages should not be considered fully private or confidential.

9.2 Groups

The Platform may allow Members to create, join, moderate, or participate in Groups.

Groups must comply with these Terms and the Community Guidelines.

Bike Shed may rename, merge, restrict, archive, remove, moderate, or assume control of any Group at any time where necessary to protect the community, Platform, Members, or Bike Shed brand.

9.3 Member-Created Events

Members may be able to create, promote, list, or participate in Events through the Platform.

Unless expressly identified by Bike Shed as an official Bike Shed event, Member-created Events are created and organized solely by the Members who create them.

Members who create Events act solely on their own behalf and not as agents, employees, contractors, representatives, partners, sponsors, or spokespersons of Bike Shed.

Bike Shed does not organize, supervise, inspect, control, endorse, verify, guarantee, or assume responsibility for Member-created Events.

9.4 Member-Created Rides

Members may be able to create, promote, list, discuss, or participate in Rides through the Platform.

Unless expressly identified by Bike Shed as an official Bike Shed ride, Member-created Rides are created and organized solely by the Members who create them.

Bike Shed does not organize, lead, supervise, inspect, control, endorse, verify, guarantee, or assume responsibility for Member-created Rides, routes, road conditions, rider ability, motorcycle condition, group behavior, weather, safety, or any related activity.

Participation in any Ride is voluntary and undertaken solely at the Member’s own risk.

9.5 No Emergency Service

The Platform is not an emergency service, safety system, ride supervision service, route validation service, or real-time rescue service.

Members are solely responsible for their own safety, preparation, judgment, route selection, equipment, legal compliance, and emergency planning.

10. Marketplace & Classifieds

10.1 Marketplace Access

The Platform may provide access to Marketplace, classifieds, commerce, listing, or buy/sell features, whether operated directly by Bike Shed, through an affiliated site, or through a third-party service.

10.2 Bike Shed Not a Party to Member Transactions

Unless expressly stated otherwise, Bike Shed is not a party to transactions between Members or between Members and third parties.

Bike Shed does not guarantee and is not responsible for:

  1. The accuracy of listings;
  2. The condition, quality, legality, authenticity, ownership, title, value, safety, or suitability of any item;
  3. The conduct of buyers or sellers;
  4. Payment, delivery, collection, shipping, taxes, customs, or import obligations;
  5. Disputes, fraud, misrepresentation, or failed transactions; or
  6. Any loss, damage, injury, claim, or dispute arising from Marketplace activity.

11. Intellectual Property

11.1 Bike Shed Property

All trademarks, trade names, logos, graphics, designs, photographs, videos, editorial content, copy, software, layouts, interfaces, icons, features, data, systems, and other materials made available by Bike Shed through the Platform are owned by or licensed to Bike Shed and are protected by intellectual property laws.

11.2 Limited Access Right

Subject to these Terms, Bike Shed grants Members a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform for personal, non-commercial Membership purposes.

This right does not transfer ownership of any Bike Shed intellectual property.

11.3 Restrictions

Members must not copy, reproduce, modify, distribute, sell, license, reverse engineer, scrape, exploit, or create derivative works from Bike Shed intellectual property except as expressly authorized by Bike Shed in writing.

11.4 Feedback

If you provide ideas, suggestions, proposals, feedback, or recommendations to Bike Shed, you grant Bike Shed the right to use them without restriction, compensation, attribution, or obligation to you.

12. Moderation, Enforcement, Suspension & Termination

12.1 Moderation Authority

Bike Shed may moderate the Platform and Community Spaces to protect the community, Members, staff, partners, Events, physical locations, and the Bike Shed brand.

Bike Shed may, at its discretion:

  1. Remove, hide, edit, restrict, or refuse Member Content;
  2. Issue warnings;
  3. Limit visibility or reach of Member Content;
  4. Restrict access to features;
  5. Suspend or terminate Accounts;
  6. Suspend or terminate Memberships;
  7. Remove Members from Groups;
  8. Cancel or restrict access to Events or Rides;
  9. Remove Marketplace listings;
  10. Block communications;
  11. Report activity to law enforcement or regulators; and
  12. Take any other action we deem appropriate.

12.2 Grounds for Enforcement

Bike Shed may take enforcement action where we believe a Member has:

  1. Violated these Terms or supporting policies;
  2. Acted unlawfully, abusively, deceptively, or unsafely;
  3. Harassed, intimidated, threatened, or targeted another person;
  4. Posted harmful, discriminatory, misleading, infringing, or inappropriate content;
  5. Used the Platform for scams, fraud, spam, or unauthorized commercial activity;
  6. Created unreasonable risk to Members, staff, partners, or the public;
  7. Damaged or attempted to damage Bike Shed’s reputation or operations;
  8. Misused Events, Rides, Groups, Marketplace features, or communications tools;
  9. Failed to pay applicable fees; or
  10. Otherwise acted in a manner inconsistent with the values, safety, or interests of Bike Shed Moto Club.

12.3 Membership Is a Privilege

Membership is a privilege, not a right.

Bike Shed may suspend, restrict, or terminate Membership or Account access where we determine such action is necessary or appropriate to protect the community, Platform, Members, staff, partners, physical locations, Events, or Bike Shed brand.

12.4 No Obligation to Monitor

Bike Shed may monitor activity on the Platform, but we are not obligated to monitor all Member Content, messages, Events, Rides, Groups, or Marketplace activity.

Failure to remove or act on any content or conduct does not waive Bike Shed’s right to act later.

12.5 Effect of Termination

Upon termination or cancellation of Membership or Account access:

  1. Your right to access the Platform and Services ends;
  2. You may lose access to Member Content, messages, Groups, Events, Marketplace listings, and Membership benefits;
  3. Bike Shed may retain certain information as required or permitted by law;
  4. Licenses granted to Bike Shed for Member Content may continue as described in these Terms; and
  5. Sections intended to survive termination shall remain in effect.

13. Third-Party Services

The Platform may integrate with, link to, embed, or rely on third-party services, including payment processors, hosting providers, analytics tools, mapping providers, messaging services, video platforms, e-commerce tools, Marketplace services, app stores, social platforms, or other technology providers.

Bike Shed does not control and is not responsible for third-party services, websites, content, policies, availability, security, accuracy, or practices.

Your use of third-party services may be governed by separate terms and privacy policies.

14. Privacy

Our collection, use, sharing, storage, and protection of personal information is described in our Privacy Policy.

By using the Platform, you acknowledge that Bike Shed may process personal information in accordance with the Privacy Policy.

15. Disclaimers

15.1 Platform Provided As Is

The Platform and Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Bike Shed disclaims all warranties, representations, conditions, and guarantees, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and security.

15.2 No Guarantee of Member Conduct

Bike Shed does not guarantee the identity, conduct, statements, skill, ability, safety, legality, reliability, or trustworthiness of any Member.

Members are solely responsible for their interactions with other Members and third parties.

15.3 No Guarantee of Rides or Events

Bike Shed does not guarantee the safety, quality, legality, suitability, route, organization, supervision, or outcome of any Member-created Event or Ride.

Members participate in Events and Rides at their own risk.

15.4 No Professional Advice

Content available through the Platform is provided for general community, entertainment, editorial, and informational purposes only.

It does not constitute legal, financial, medical, mechanical, safety, riding, training, insurance, or professional advice.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Bike Shed Motorcycle Company Limited and its directors, officers, employees, contractors, representatives, affiliates, partners, licensors, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or similar damages, including loss of profits, revenue, goodwill, data, use, business opportunity, or reputation, arising out of or relating to:

  1. Use of or inability to use the Platform or Services;
  2. Member Content;
  3. Member conduct;
  4. Events, Rides, Groups, Community Spaces, or Marketplace activity;
  5. Unauthorized access to or use of your Account;
  6. Third-party services;
  7. Suspension or termination of Account or Membership; or
  8. Any other matter relating to these Terms or the Services.

To the fullest extent permitted by applicable law, Bike Shed’s total liability for any claim arising out of or relating to these Terms, the Platform, Services, Membership, Events, Rides, or Marketplace activity shall not exceed the amount paid by you to Bike Shed for your Membership in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

17. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Bike Shed Motorcycle Company Limited and its directors, officers, employees, contractors, representatives, affiliates, partners, licensors, service providers, and agents from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  1. Your use of the Platform or Services;
  2. Your Member Content;
  3. Your violation of these Terms or supporting policies;
  4. Your violation of applicable law or third-party rights;
  5. Your conduct toward other Members or third parties;
  6. Any Event or Ride you create, promote, organize, attend, or participate in;
  7. Any Marketplace listing, purchase, sale, communication, or transaction involving you;
  8. Any dispute between you and another Member or third party; or
  9. Any misuse of your Account.

Bike Shed reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with such defense.

18. Changes to the Platform, Services & Terms

Bike Shed may change, modify, suspend, discontinue, or replace any part of the Platform, Services, Membership benefits, pricing, features, policies, or Terms at any time.

Where required by law or where changes are material, Bike Shed will provide notice through the Platform, by email, or by other reasonable means.

Continued use of the Platform or Services after changes become effective constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you must stop using the Platform and cancel your Membership.

19. Governing Law & Jurisdiction

These Terms and any dispute arising out of or relating to them, the Platform, Services, Membership, Events, Rides, or Marketplace activity shall be governed by the laws of England and Wales.

Subject to any rights you may have under applicable consumer protection laws, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
